    - Responses to questions during calls (e.g. appointment details)
  b. Service data:
    - Call recordings and transcripts
    - SMS messages sent/received (the text itself)
  c. What we don’t collect:
    - IP addresses, device identifiers, location data
    - Cookies or website analytics




3. How We Collect Information
  a. Users opt in by:
    - Texting “START” to our number
    - Verbal consent during calls
    - Checking a box on our website
  b. All calls include the disclaimer: “This call will be recorded for quality assurance purposes.”




4. How We Use Your Data
  a. To deliver reminders, updates, and conversational support.
  b. To generate quotes, troubleshoot issues, and improve Service
  c. To train and refine our AI models.
  d. We anonymize transcripts by removing names, phone numbers, and any other personally identifiable information before using them to train or fine-tune our AI models.

5. How We Share Your Data

    - Twilio: SMS delivery, phone-number management
    - VAPI: Voice-AI processing and call analysis

    - Google Sheets: Data storage
  b. Legal disclosures: to comply with subpoenas or court orders
  c. Business transfers: only if we merge or sell the company, under similar privacy terms
  d. We do not share mobile information with any third parties or affiliates for marketing or promotional purposes, unless we explicitly state otherwise and you opt in. We only share data with these vendors to support customer-service functions.




6. Opt-In, Opt-Out & Messaging Terms
  a. Opt-In: Users text “START,” opt in on our website, or give verbal consent
  b. Opt-Out: Reply “STOP” via text, or email us at [email protected]
Message frequency and carrier rates will be disclosed at opt-in




7. Data Retention & Deletion
  a. We retain call recordings, transcripts, and SMS logs for up (but not limited to) to 2 years by default.
  b. You may submit a request to delete your personal data at any time by emailing [email protected].
  c. Upon receiving your request, we will review it and make reasonable efforts to remove your data from our active systems; however, we may be unable to fully delete data retained for legal, regulatory, or technical reasons.
  d. “Reasonable efforts” include removing your data from active databases, disabling scheduled backups where feasible, and purging logs—subject to any legal or technical constraints.




8. Security Measures
  a. We rely on TLS encryption in transit and at-rest protections provided by VAPI, Make.com, and Google Sheets
  b. Only authorized personnel may access raw recordings/transcripts—and only when working on your account
  c. We review vendor security certifications periodically




9. User Rights & Requests
  a. Under California’s CCPA and general privacy best-practices, you have the right to:
    - Access: Request a copy of your personal data
    - Correct: Ask us to correct inaccuracies
    - Delete: Request erasure of your data
    - Limit Use & Disclosure: Opt out of model-training uses

10. Children’s Privacy
  a. We do not knowingly collect data from anyone under age 13. If you believe we have, please contact us to have it removed.




11. Training, Profiling & Analytics

  b. We do not sell or share personal data for marketing purposes




12. International Transfers & Hosting
  a. All data is stored in Google Sheets within U.S. data centers
  - We do not routinely transfer data outside the U.S.

Terms of Service

Terms of Service for Mirai AI LLC

1. Scope of Services
  a. Mirai AI LLC (“we,” “us,” “our”) provides custom AI consulting and implementation services to businesses (“Client,” “you”) for handling inbound customer-service, booking, appointment, and purchasing inquiries.
  b. Each engagement is bespoke—features, deliverables, and performance metrics are agreed in writing per client.




2. Pricing & Payments
  a. Build-out Fee: One-time project fee, based on scope and deliverables.
  b. Retainer: Ongoing fees (results, support speed/availability, usage) as agreed in writing.
  c. Invoices: Issued per milestone or billing cycle. Payment due net 30 days unless otherwise stated.
  d. Non-Refundable Fees: Build-out fees cover labor and are non-refundable. Annual retainer fees are non-refundable.




3. Account & Eligibility
  a. Who May Use: Any business Client we deem to use our AI systems.
  b. Onboarding: Client books an initial call; we assess fit and systems before issuing a written engagement agreement.
  c. Credentials: Clients are responsible for securing any login or API credentials they provide.




4. Intellectual Property
  a. Our Ownership: We retain ownership of all AI systems, code, custom models, and configurations we build.
  b. License to Client: Upon full payment, Client receives a limited, revocable license to use deliverables per their agreement.
  c. Reuse Rights: We may repurpose or modify frameworks, libraries, or system components for other clients or internal use.




5. Confidentiality
  a. Mutual Commitment: We’ll keep Client’s business processes, strategies, data, and materials confidential.
  b. NDA: We’re willing to sign a standalone NDA if Client requests.
  .c. Data Handling: We do not delete or remove data unless required by the platform/software or requested by Client (subject to legal, regulatory, or technical retention requirements).




6. Term & Termination
  a. Term: Defined per engagement—either until project completion or on a rolling retainer.
  b. Notice: Either party may terminate upon 14 days’ written notice (unless a different period is agreed).
  c. Post-Termination:
    - We’ll delete all Client-related data on request (subject to legal/technical holds).
    - We may retain and repurpose system templates or tools.
    - No refunds on prepaid build-out or retainer fees.




7. Warranties & Disclaimers
  a. Performance Warranty: We guarantee agreed uptime or deliverables per written metrics; meeting those metrics deems work complete and fees due.
  b. Disclaimers:
    - AI use may lead to reputational or revenue impacts; we disclaim liability for brand damage, lost customers, or revenue loss due to AI use.
    - We’re responsible only for system performance per agreed metrics.




8. Limitation of Liability
  a. Caps & Exclusions: Except for our guaranteed uptime obligations or willful misconduct, our liability (direct or indirect) is limited to the fees paid in the prior 12 months. We’re not liable for incidental, consequential, or punitive damages.




9. Indemnification
  a. Client Indemnity: Client defends and holds us harmless for claims arising from Client’s use of AI outputs beyond agreed scope or any misuse of the system.
  b. Our Indemnity: We indemnify Client for losses caused by our willful negligence or infringement of third-party IP in deliverables.




10. Non-Payment & Remedies
  a. Suspension: We may suspend services if payment is overdue.
  b. Termination Right: We may terminate for non-payment without penalty.
  c. No Interest: We do not charge interest on overdue balances.




11. Assignment
  a. Neither party may assign its rights under these Terms without the other’s prior written consent. Any unauthorized assignment is void.




12. Force Majeure
  b. Neither party is liable for delays caused by events beyond its reasonable control (e.g., natural disasters, war, pandemics). Affected party must notify the other within seven days; performance excuse lasts as long as the event continues.




13. Governing Law & Dispute Resolution
  a. Law: Governed by the laws of the State of California, without conflict-of-law rules.
  b. Dispute Process:
    - Good-faith attempt to resolve informally.
    - Mediation in Los Angeles County.
    - Arbitration (binding) under JAMS or similar.
    - Litigation in Los Angeles County Superior Court only if prior steps fail.




14. Modifications to Terms
  a. We’ll notify Clients via email and website update.
  b. Effective date and notice period depend on change type and Client agreement.
  c. Continued use after the effective date constitutes acceptance.




15. Notices
  a. All formal notices to us go to [email protected] and are deemed received upon delivery to our primary inbox.




16. Miscellaneous
  a. Entire Agreement: These Terms (and any schedules) are the full agreement, superseding prior discussions. Later signed written agreements control if they conflict.
  b. Severability: Invalid provisions don’t affect the remainder.
  c. Waiver: Failure to enforce a right isn’t a waiver of future rights.
  d. No Third-Party Beneficiaries: Only Client and Mirai AI LLC may enforce these Terms.
  e. Independent Contractor: We operate as an independent contractor; no joint venture, partnership, or employment relationship is created.
